Terms of Service

1. Acceptance of Terms

By accessing or using AgentCloud or DropAgent (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AgentCloud provides AI-powered personal agent software accessible via subscription. DropAgent is a specialized product built on the same platform for e-commerce and dropshipping automation. The Service allows users to create, configure, and interact with AI agents running on private cloud infrastructure.

3. Accounts & Eligibility

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when creating an account.
  • One account per person. You may not share accounts or create accounts on behalf of others without authorization.
  • We reserve the right to terminate accounts that violate these Terms.

4. Subscriptions & Billing

  • The Service is offered on a monthly subscription basis. Pricing is displayed at checkout and on the pricing page.
  • Subscriptions automatically renew each month unless canceled before the renewal date.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.
  • All payments are processed securely via Stripe. We do not store your payment card details.
  • Token usage is subject to per-plan limits. Exceeding your limit automatically switches your agents to a free fallback model until you top up or your plan resets.
  • Top-up credits are non-refundable once used.
  • We reserve the right to change pricing with 30 days notice to existing subscribers.

5. Refund Policy

Subscription fees are generally non-refundable. If you believe you were charged in error, contact us at support@agentcloudai.app within 7 days of the charge and we will review your case. Chargebacks filed without first contacting support will result in immediate account suspension.

6. Acceptable Use

You agree not to use the Service to:

  • Generate, distribute, or promote illegal content.
  • Harass, threaten, or harm any person.
  • Violate any applicable laws or regulations.
  • Attempt to reverse-engineer, scrape, or circumvent the Service's technical measures.
  • Use the Service to build a competing product or service without prior written consent.
  • Send spam, unsolicited communications, or engage in phishing.
  • Attempt to gain unauthorized access to any system or data.

We reserve the right to suspend or terminate accounts that violate these guidelines, without prior notice and without refund.

7. AI-Generated Content

The Service uses large language models (LLMs) to generate responses. You acknowledge that:

  • AI-generated content may be inaccurate, incomplete, or outdated.
  • You are solely responsible for how you use AI-generated content.
  • We do not guarantee that outputs are suitable for any particular purpose.
  • Content you provide to the Service may be processed by third-party AI model providers (e.g., Anthropic, OpenAI, Google) under their respective terms.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in that policy.

9. Intellectual Property

The Service, its design, and underlying technology are owned by us and protected by applicable intellectual property laws. You retain ownership of content you create using the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, chargebacks, fraud, or conduct we determine to be harmful. Upon termination, your access to the Service will end, but your data will be retained for 90 days before deletion, during which you may contact us to export it.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice in the dashboard. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
